Preamble and Context

IMPORTANT NOTICE — Alpha Environment: Hadalos is currently in closed internal alpha testing. Access is strictly limited to persons explicitly invited by the founder. The software is provided "as is" for testing and feedback purposes only.

These Terms of Use (the "Terms") constitute a legal agreement between you, as a participant in the alpha program ("the User"), and the Founder of Hadalos (the "Developer"), operating as an individual from the province of Québec, Canada.

Hadalos is a double-entry financial management application — not yet incorporated, not commercialized, and not certified by any regulatory authority — offered exclusively for testing purposes during this alpha phase.

By accessing the application or registering for the alpha program, you acknowledge that you have read, understood, and accepted all of these Terms.


Article 1 — Party Identification

1.1 The Developer

1.2 The User

Any natural person who has received a personal invitation from the Developer and registered on the Hadalos platform as part of the closed alpha testing program. Access to the platform is not public and may not be redistributed or transferred.


Article 2 — Nature and Scope of the Service

2.1 Service Definition

Hadalos is a double-entry financial management SaaS application incorporating the following features, available during the alpha phase:

  • Financial account management (real, virtual, settlement, intergroup)
  • Transaction entry and visualization with a ledger and SHA-256 cryptographic chaining
  • Group management with role-based access (Owner, Administrator, Editor, Observer)
  • Expense sharing among group members
  • Email invitation sending

2.2 Alpha Phase — Critical Limitations

⚠️ IMPORTANT NOTICE — Fictitious Data Only: The Developer EXPRESSLY recommends using only fictitious or anonymized data throughout the alpha program. No real financial, personal, or tax information should be entered into the application. Hadalos is not yet an incorporated entity: no insurance mechanism, corporate liability, or service continuity guarantee is in place.
  • The application is provided without warranty of any kind, express or implied
  • The Developer reserves the right to modify, suspend, or reset the environment at any time and without notice
  • No service continuity or permanent data backup is guaranteed
  • The application is not certified by the Autorité des marchés financiers (AMF) du Québec, the Office of the Superintendent of Financial Institutions (OSFI), or any other regulatory body
  • Hadalos is not a financial institution, does not hold funds, and does not constitute a regulated brokerage, financial advisory, or payment service

2.2.1 Formal Recommendation — Fictitious Data

The User is formally invited to use exclusively fictitious data, including:

  • Fictitious account names (e.g. "Test Account", "Mock Salary")
  • Arbitrary amounts unrelated to real finances
  • Simulated transactions for functional testing purposes only

Any User who chooses, despite this notice, to enter real data does so at their own risk and expressly acknowledges that the Developer cannot be held liable for any loss, alteration, or disclosure of such data.

2.3 Technical Access

Access to the application requires a valid account created via invitation. The User must maintain the confidentiality of their credentials and immediately report any suspected compromise to the Developer.


Article 3 — Access and Eligibility Requirements

3.1 Eligibility Requirements

To access the alpha program, the User must:

  • Have received a personal invitation issued by the Developer
  • Be a natural adult person (18 years of age or older) or a duly authorized legal entity
  • Expressly accept these Terms before any access

3.2 Account Creation

Registration requires the following information: first name, last name, email address, and password. The User warrants the accuracy of the information provided and undertakes to keep it up to date.

Any registration attempt with an already-registered email address generates a security notification, without revealing the existence of the account, in accordance with Hadalos security practices.

3.3 Non-Transferability of Access

Access to the alpha program is strictly personal and non-transferable. The User may not share their credentials, invite third parties without the Developer's express written authorization, or circumvent access control mechanisms.


Article 4 — User Obligations

4.1 Permitted Uses

The User is authorized to use Hadalos solely for the following purposes:

  • Testing the application's features in a personal or family context
  • Providing structured feedback to the Developer through designated channels
  • Reporting identified anomalies, bugs, or vulnerabilities

4.2 Prohibited Uses

The User expressly undertakes not to:

  • Use the application for commercial, advertising, or competitive purposes
  • Reverse engineer, decompile, disassemble, or attempt to extract the source code
  • Bypass, disable, or test security measures without prior written authorization
  • Access other users' data in an unauthorized manner
  • Introduce malicious data (NoSQL injection, scripts, etc.)
  • Disclose, publish, or publicly share screenshots, descriptions, or information about the application without the Developer's written consent
  • Use the application to process real financial transactions creating legal or tax obligations

4.3 Alpha Program Confidentiality

Participation in the alpha program is confidential. The User undertakes not to disclose the existence of the program, its features, interface, or any technical information about Hadalos to third parties, except with the Developer's written consent. This confidentiality obligation survives termination of these Terms for a period of two (2) years.


Article 5 — Intellectual Property

5.1 Reserved Rights

All intellectual property rights relating to Hadalos — including without limitation the source code, algorithms, design system, brand, texts, graphics, accounting logic, and SHA-256 chaining mechanism — are the exclusive property of the Developer and are protected by the Copyright Act (R.S.C. 1985, c. C-42) and applicable international conventions.

5.2 Limited Licence

The Developer grants the User a limited, non-exclusive, non-transferable, revocable, royalty-free licence to access and use the application in accordance with these Terms, for the duration of the alpha program only.

5.3 Feedback

Any feedback, suggestion, or idea communicated by the User to the Developer becomes the exclusive property of the Developer, without compensation, attribution, or restriction of use. The User expressly waives any moral rights over such contributions to the extent permitted by applicable law.


Article 6 — Disclaimers and Limitations of Liability

6.1 Service Provided "As Is"

Hadalos is provided "as is" and "as available", without warranty of any kind, express or implied, including without limitation any warranty of merchantability, fitness for a particular purpose, security, or continuity of service.

6.2 Limitation of Liability

To the maximum extent permitted by applicable law, the Developer shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss or corruption of financial or personal data
  • Service interruptions or loss of access
  • Financial decisions made based on information displayed in the application
  • Any harm arising from bugs, vulnerabilities, or unexpected behaviour

Without prejudice to cases of gross negligence or intentional misconduct remaining governed by common law, the Developer's cumulative liability shall not exceed zero dollars (CA$ 0.00), as the service is provided free of charge during the alpha phase.

6.3 Financial Data

Hadalos is not a financial, accounting, or tax advisor. The information displayed in the application is provided for informational purposes only and does not constitute financial, accounting, tax, or legal advice. The User remains solely responsible for their financial decisions.


Article 7 — Personal Data

The collection and processing of the User's personal information is governed by Hadalos's Privacy Policy, available at: Privacy Policy. The Privacy Policy is incorporated into these Terms by reference and forms an integral part thereof.

By accepting these Terms, the User acknowledges having also read the Privacy Policy and expressly consents thereto.


Article 8 — Term, Suspension, and Termination

8.1 Term

These Terms take effect upon the User's registration and remain in force for the duration of the alpha program, until its closure or until termination.

8.2 Termination by the Developer

The Developer reserves the right to suspend or terminate any User's access, at any time and without notice, including in cases of:

  • Breach of these Terms
  • Use contrary to the program's interests
  • Closure of the alpha program
  • Discretionary decision by the Developer

8.3 Termination by the User

The User may terminate their participation in the alpha program at any time by ceasing to use the application and sending a notification email to the Developer. Rights regarding personal data are specified in the Privacy Policy.

8.4 Effects of Termination

Termination immediately revokes the usage licence. The provisions of Articles 4.3 (confidentiality), 5 (intellectual property), 6 (limitation of liability), and 9 (governing law) survive termination.


Article 9 — Governing Law and Jurisdiction

These Terms are governed exclusively by the laws in force in the province of Québec and applicable federal laws of Canada. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of the province of Québec.

The authoritative version of these Terms is the French version. This English translation is provided for convenience only; in the event of any conflict or inconsistency between the two versions, the French version shall prevail.


Article 10 — Changes to the Terms

The Developer reserves the right to modify these Terms at any time. Any material change will be notified by email to the User's registered address, with a minimum notice period of five (5) business days. Continued use of the application after this period constitutes acceptance of the new terms.


Article 11 — General Provisions

11.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to the alpha program and supersede all prior agreements.

11.2 Severability

If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, it shall be modified to the minimum extent necessary to make it valid and enforceable, without affecting the other provisions.

11.3 No Waiver

The Developer's failure to exercise any right provided for in these Terms does not constitute a waiver of that right.

11.4 Force Majeure

The Developer shall not be liable for any failure or delay in performance attributable to events beyond their reasonable control, including third-party infrastructure outages, cyberattacks, or governmental decisions.
